Comvita USA Authorized Reseller Program Policy
Effective June 2025
Comvita USA, Inc (“Comvita”) is committed to working with customers to facilitate the sale of Comvita products through E-Commerce channels in the United States and Canada. Comvita maintains an Authorized Reseller Policy to protect Comvita’s brand and intellectual property, as well as authorized channel partners. This policy is also in place to protect end customers, ensuring they receive accurate product information, pricing and customer service that meets Comvita’s standards. Finally, the policy works to ensure fair competition among resellers as well as supporting those who have invested in stocking and marketing Comvita products and abide by Comvita’s policies and programs. Comvita will interpret and enforce this policy at its sole discretion. By purchasing Comvita products for resale, you (“Reseller”) agree to adhere to this Reseller policy.:
Sell on Approved Websites Only
- Unless otherwise explicitly authorized in writing by the Director of E-Commerce Reseller is prohibited from selling Comvita products on the Internet.
- Selling on third party marketplaces (e.g., Amazon, eBay, Walmart, etc.), drop- ship accounts (e.g., Buy.com, Jet.com, Newegg, etc.) or classified sites (e.g., Craigslist, Facebook Marketplace, etc.) is strictly prohibited unless Reseller received written permission specifically authorizing Reseller to sell on a specific marketplace and under a specific seller name.
Maintain Accurate Brand & Product Information
- Reseller is granted a limited, non-exclusive, non-transferable, revocable license to use the Comvita’s IP for the sole purpose of advertising and promoting the sale of Comvita products to end-users within the United States and Canada “(North America”).
- Maintain proper use of all Comvita’s trademarks.
- Sell product only in original packaging.
- Do not duplicate, or develop different, universal product codes (UPCs) to differentiate a product.
Online Marketing
- If a Reseller wishes to participate in the marketing of Comvita’s brand and product through a Google Adwords Account or similar paid search account, the Reseller must submit a request to Comvita and obtain written permission for approved ad keywords.
Sell Only to End Users
- Reseller is only authorized to market, sell, and distribute Comvita Products to end-users located in North America.
- Resellers should not knowingly sell Comvita products to other resellers, including other E-Commerce resellers. Comvita recognizes that sales to E-Commerce resellers may inadvertently occur from time to time. Therefore, in the event you inadvertently transact with other E-Commerce resellers, you must disclose the details of those transactions and provide point of sale information at the request of Comvita (e.g., when and to whom such products were sold) so that Comvita may identify these unauthorized sales and enforce this policy.
- Sellers transacting Comvita products through E-Commerce that are not authorized to do so or did not procure product from Comvita, or an authorized distributor of Comvita, directly, are not authorized to sell Comvita products online or use Comvita’ intellectual property, including, but not limited to, trademarks, copyrights, images or product information. Comvita reserves the right to take enforcement action against the seller and supplier of the product in accordance with this policy.
Unauthorized Exports or Marketing in Other Countries
- Reseller may only advertise and sell Comvita products within North America. You shall cooperate with Comvita in preventing unauthorized exportation of the Products. You shall not advertise for sale or ship Products outside of North America or sell Products to any third party that advertises for sale or ships the Products outside of North America, in each case without the prior written consent of Comvita.
Bulk Sales by Resellers
- The Products may not be sold in bulk by Resellers. “Bulk” is defined as selling by the case. Resellers shall use reasonable efforts to identify suspicious purchase patterns (e.g., frequent purchases by an individual) and promptly report the same to Comvita.
Customer Confusion
- You may not advertise, market, promote, display, demonstrate, bundle or sell non-Comvita products in a manner that would create the impression that the non-Comvita Products are made by, endorsed by, work with or are associated with Comvita or the Products. You must ensure that the Products never are misbranded or represented as another brand.
Disclose All Seller Names & Properties
- Maintain accurate and up-to-date company information and disclose all retail locations, web properties, temporary storefronts and seller names across all channels directly to Comvita. Any seller transacting through E-Commerce must report all websites and seller names advertising or transacting Comvita products to brandprotection@comvita.com. Any and All Internet websites must be approved in writing by Comvita.
Quality Control
Authorized Resellers acknowledge the importance of upholding the good reputation of Comvita and its Products. Accordingly, Authorized Resellers agree to adhere to the highest quality control standards in performing their obligations under this Policy, including the following standards established by Comvita:
- Provide Accurate Information. Authorized Resellers must provide accurate and up-to-date company and contact information including all DBAs, retail locations, and websites where the Product will be sold.
- Product Storage. Authorized Resellers will store the Product in a facility and in a manner that prevents damage to the Product or its packaging.
- Original Packaging. Authorized Resellers will only sell Products in their original unaltered, undamaged, and sealed packages with all original markings, documents, and identifying information intact. Authorized Resellers are prohibited from selling Products that have original labels replaced, altered, destroyed, or bundles made up of items meant to be sold individually or as part of a larger package; such packages are considered altered and will not qualify for refunds, exchanges, or Comvita’s product warranties.
- Bundles and Multipacks. Authorized Resellers will not create, or advertise, bundles or multipacks without prior written authorization from Comvita.
- Expiration Dates. Authorized Resellers acknowledge that Comvita products have an expiration date to maintain product quality, potency, and integrity. Accordingly, Authorized Resellers will not sell products that are expired, or close to expiration. For Amazon FBA sales channel, Authorized Resellers must sell only products that, at the time of check-in at an Amazon fulfillment center, have a remaining shelf-life that allows sufficient time for the product to be consumed in full, plus an additional ninety (90) days. For sales channels other than Amazon FBA, Authorized Resellers must sell only products that have a remaining shelf-life that allows sufficient time for the product to be consumed in full, but no less than ninety (90) days from the expiration date listed on the label.
- Quality Control Audit. Comvita may conduct quality control audits of its Authorized Resellers’ advertising, promotional materials, product images, and any documents related to the marketing and advertising of the Product to determine whether the use of the Product and Intellectual Property meet the standards, specifications, and directions approved by Comvita. When requested, Authorized Resellers will provide Comvita with samples of advertising, promotional materials, product images, and any other documents for review.
Product Warranties
Comvita warrants the Products to be free from defects in material and workmanship. Comvita warrants that customers who purchase directly from Comvita, or its Authorized Resellers, will receive unexpired product that are safe to consume when used according to the specifications printed on the label. Comvita also warrants that the products sold by Comvita, and its Authorized Resellers comply with all product safety regulations and appropriate labeling requirements promulgated by the United States Food and Drug Administration, including the Federal Food, Drug, and Cosmetic Act, Federal Consumer Product Safety Act, and any other applicable product safety law. Further, Comvita warrants that the Products sold by its Authorized Resellers conform to Comvita’s quality control specifications. Such warranties extend only to Products sold by Comvita and its Authorized Resellers who are subject Comvita’s quality control standards. COMVITA WARRANTIES DO NOT EXTEND TO PRODUCTS OBTAINED AND SOLD BY UNAUTHORIZED RESELLERS OR TO PRODUCTS WHICH COMPANY CONSIDERS ALTERED.
Comvita Minimum Advertised Price Policy
- All Resellers acknowledge they’ve received Comvita’s MAP policy from an authorized Comvita distributor or Comvita. If Comvita determines that Reseller is not in acquiescence with the MAP policy, Comvita may stop supplying products to reseller or revoked Reseller’s authorized status immediately.
Legal Compliance
Reseller must preserve the reputation and goodwill of Comvita and avoid any illegal or unethical actions. Resellers acknowledge that they will comply with all applicable laws, rules and regulations related to advertising, sale and marketing of Comvita products, including but not limited to:
- Don't make false or misleading claims or engage in deceptive sales tactics, including, but not limited to “bait and switch” practices.
- If you email customers, comply with the CAN-SPAM Act (and other similar laws).
- If you maintain an online presence, publish a privacy policy and comply with it.
- Use known and trusted checkout vendors only and ensure that credit card transactions flow through a PCI-compliant payment stack (i.e., one in which credit card numbers are not collected by the merchant).
Enforcement
Resellers that fail to comply with any term in this policy will be subject to enforcement actions at Comvita’s discretion including, but not limited to:
- Loss of authorization to sell Comvita products online
- Comvita has the option of buying back existing inventory (at cost) or Reseller will be given a reasonable amount of time to sell through inventory on hand if loss of authorization occurs
- Suspension of shipments
- Permanent termination of Resellers account with Comvita
Resellers may not circumvent any term of this policy through any means. Comvita will interpret any violations of this policy in its sole discretion. No failure or delay of enforcing this policy shall be deemed a waiver of right. Comvita reserves the right to modify this policy at any time.
